PUBLIC SALE AND PURCHASE AGREEMENT (PUBLIC OFFER)
1. General Provisions
1.1. This document constitutes a public agreement (offer) in accordance with Articles 633 and 641 of the Civil Code of Ukraine and governs the terms and conditions for the purchase and sale of goods on the website soluje.com (hereinafter — the Website). The Agreement is concluded in accordance with the Civil Code of Ukraine and the Law of Ukraine "On Consumer Rights Protection".
1.2. Placing an order on the Website constitutes the Buyer's full and unconditional acceptance of the terms of this offer.
1.3. Seller — Individual Entrepreneur Slivinska Alla Vasylivna, USREOU/RNOKPP code: 2573702846.
1.4. Buyer — any legally capable individual making a purchase of goods on the Website.
2. Product Range and Information Accuracy
2.1. The Seller lists products on the Website with descriptions, specifications, and photos that correspond as closely as possible to the actual item.
2.2. The actual color of the product may slightly differ from the images on the Website due to lighting conditions and screen settings. Such differences do not constitute a product defect.
2.3. The Seller reserves the right to make minor technical changes to the materials, hardware, or construction of products (for example, changing the type or labeling of sliders), provided that such changes do not affect the quality, functionality, or overall appearance of the product.
2.4. The Buyer has the right to return goods in accordance with Section 6 of this Agreement.
3. Prices and Payment
3.1. The base currency of the online store is the Ukrainian hryvnia (UAH).
3.2. Prices on the Website may be displayed in other currencies for the convenience of users. Such prices are automatically converted and are for informational purposes only.
3.3. Actual charges are made exclusively in hryvnia (UAH).
3.4. Payment is processed through the Hutko payment service. After order confirmation, the Buyer is automatically redirected to the secure Hutko payment page to complete the transaction. This page is secure and is an integral part of the purchase process.
3.5. The Seller does not store or process the Buyer's bank card details.
3.6. If payment is made with a card issued in a different currency, the issuing bank may apply currency conversion. Double conversion (through an intermediate currency) is possible, which may result in a minor difference between the actual amount charged and the amount displayed on the Website. The estimated difference may be a few percent and depends on the Buyer's bank terms. The Seller has no influence over the conversion rate or bank fees.
3.7. Depending on the Buyer's region, the price displayed on the Website may vary. Different prices for different markets are justified by higher costs and risks borne by the Seller when processing international orders.
4. Order Placement
4.1. Orders are placed through the standard checkout process on the Website, which operates on the Shopify platform.
4.2. The Buyer independently selects the available delivery method, if one is provided for their region.
4.3. An order is considered accepted for processing after successful payment confirmation and is prepared for shipment within 1–3 business days.
4.4. In the event of a product being out of stock, the Seller will notify the Buyer and either issue a refund or offer an alternative.
5. Delivery
5.1. General Terms
5.1.1. Delivery is processed automatically upon placing an order through the Website.
5.1.2. International delivery is paid. Shipping costs are calculated and displayed during checkout and are fixed for the selected delivery method.
5.1.3. Delivery times depend on the destination country, the carrier's operations, and customs procedures.
5.1.4. The Seller ships internationally via the following carriers: FedEx, UPS, DPD, Nova Post. The specific carrier is determined based on the destination country and logistics conditions.
Orders do not ship to Russia and Belorussia.
5.1.5. Domestic deliveries within Ukraine are carried out via Nova Post. Delivery to a Nova Poshta branch: free of charge. Courier delivery via Nova Poshta: fixed rate at checkout. Delivered directly to your address. Delivery times depend on the carrier and range from 2 to 5 days, depending on the Buyer's location.
5.2. International Delivery and Customs Duties
5.2.1. For international orders, additional customs duties, taxes, import fees, or other charges may be levied in the destination country in accordance with the laws of that country.
5.2.2. Such charges are not included in the product price or shipping cost (except as stated in clause 5.2.5) and are to be paid by the Buyer independently to the customs authorities or relevant services in the destination country.
5.2.3. The Seller is not responsible for the assessment or amount of such charges.
5.2.4. The Seller reserves the right to additionally contact the Buyer via email, SMS, or messaging apps (including Telegram or WhatsApp) to request confirmation that the Buyer is aware of the possibility of customs duties in the destination country and is prepared to pay them. The Seller may suspend order processing and shipment until such confirmation is received. If no response is received within 4 days, the Seller reserves the right to cancel the order and refund the amount paid.
5.2.5. For orders with a total declared value up to 799 USD, customs duties (10%) are included in the product price. For orders with a total declared value above 799 USD, additional customs duties, taxes, or import charges may be assessed by U.S. Customs and are the responsibility of the Buyer.
6. Returns
6.1. General Return Conditions
6.1.1. The Buyer may submit a return request within 14 calendar days from the date of receipt. Return requests are accepted at info@soluje.com. In certain cases, requests may also be accepted via Telegram, WhatsApp, or Instagram Direct. The Buyer will receive return instructions from the Seller.
6.1.2. The product must be unused, with all tags attached, in clean condition, free from odors and physical damage.
6.1.3. Returns will not be accepted if clauses 6.1.1 and 6.1.2 have not been met by the Buyer.
6.1.4. Upon receipt of the returned item, inspection is carried out within 5 business days.
6.1.5. Refunds are issued within 5 business days after the return has been confirmed as accepted. The timing of funds reaching the Buyer's account depends on the Buyer's bank.
6.1.6. Returns within Ukraine are free of charge and are carried out via Nova Post.
6.1.7. Product exchange is carried out through the return process and placement of a new order, or by separate agreement with the Seller.
6.1.8. The return must be shipped within 3 business days after approval.
6.2. International Returns
6.2.1. International returns are handled with prior coordination through support: info@soluje.com.
6.2.2. The cost of international return shipping is borne by the Buyer, unless otherwise agreed by the parties.
6.2.3. All customs duties, taxes, or fees arising from the return of goods to Ukraine are to be paid by the Buyer. If such costs are automatically assigned to the Seller, the corresponding amount may be deducted from the refund. The Seller has no influence over customs duties, taxes, or fees determined by customs authorities and payable to the state budget of the Seller's country.
The Seller may, at its discretion, offer a gift card or discount code toward a future purchase to offset customs charges incurred during the return process. Any such credit will be valid for 12 months from the date of issue.
7. Liability of the Parties
7.1. The Seller is not liable for carrier delays, banking operations, customs services, or exchange rate fluctuations.
7.2. The Buyer is responsible for the accuracy of the contact and address information provided.
8. Personal Data
8.1. Personal data is processed in accordance with the Law of Ukraine "On Personal Data Protection" and the privacy and data processing policy of Shopify Inc.
8.2. Data is used exclusively for order processing and delivery purposes.
9. Final Provisions
9.1. The Seller reserves the right to amend the terms of this offer.
9.2. The updated version comes into effect upon publication on the Website and applies to new orders.
